Saudi LLC formation
A limited liability company is how most Pakistani businesses enter Saudi Arabia: it is a separate Saudi company, Pakistani ownership can be 100%, and your risk stops at its capital. We form it from Pakistan, from the first activity check to an LLC that can invoice and hire.
In one paragraphA Pakistani company or individual forms a Saudi LLC by registering with MISA, signing articles of association and obtaining a Commercial Registration from the Ministry of Commerce. A single Pakistani shareholder is enough. Profit owned by Pakistani shareholders is taxed at 20% in Saudi Arabia, and dividends paid back to Pakistan carry 5% Saudi withholding.
Who will own it
The owner of the Saudi LLC decides which State Bank of Pakistan route the capital takes under Para 13 of Chapter 20 of the FE Manual and which papers you send. A Pakistani company, a resident individual and an overseas Pakistani each start from a different place.

| Owner | Pakistani side | Papers you send | Saudi result |
|---|---|---|---|
| Pakistani company | IT and other exporters: general permission through one designated bank branch. Other companies: SBP prior permission | SECP papers, audited accounts, board resolution | LLC owned 100% by your company |
| You, living in Pakistan | No general permission for a private company stake; your bank takes the case to the SBP | Passport, bank reference | LLC in your own name |
| Overseas Pakistani | Money earned and held abroad doesn't leave Pakistan, so these rules usually don't bite | Passport, bank reference | LLC in your own name |
SBP routes checked against Para 13 of Chapter 20, as amended by FE Circular 1 of 11 July 2024.
LLC services
Forming a Saudi LLC from Pakistan covers more than the CR. The MISA registration from Pakistan, the articles and the capital plan come before it; ZATCA, GOSI, Qiwa, the Saudi bank account and the manager's Iqama come after, and only then can the company invoice.
A single Pakistani shareholder, the shape of both our certificate files.
Pakistani and Saudi or third-country partners, with shares and voting set out in the articles.
Drafted with our Saudi legal partner: ownership, management powers, profit rules.
Our FCMA works out the capital your activity needs and what the company will cost to run.
Name reserved, CR issued, National Address and Chamber records set up.
ZATCA, GOSI, Qiwa, the bank account and the manager's Iqama, so the company can trade.
Proof and figures
Two Pakistani-owned Saudi LLCs we formed took 25 days and 114 days from MISA registration to CR, which is the range we tell Pakistani owners to plan around. The certificates for both files are on our portfolio page.
The route
A Pakistani-owned Saudi LLC goes from activity check to trading in five steps, two in Pakistan and three in Saudi Arabia. The CR it receives has no expiry date but is confirmed every year.
LLC questions from Pakistan
A single Pakistani shareholder can own a Saudi LLC alone, and both companies on our portfolio are one-person LLCs owned by Pakistani companies.
Most service activities have no MISA minimum, and software and IT activities have none. Activities on MISA's special-category list do, such as SAR 30 million for a 100% foreign trading company.
20% corporate income tax on profit owned by Pakistani shareholders, VAT at 15% once sales pass SAR 375,000 in 12 months, and 5% Saudi withholding on dividends paid to Pakistan.
Pakistan and Saudi Arabia signed a tax treaty on 2 February 2006, and Pakistan's FBR lists dividend rates of 5% or 10% under it. How Pakistan taxes the dividend is a question for your Pakistani tax adviser.
Yes. The articles set each partner's share, votes and profit rights; our Saudi legal partner drafts them.
The manager named in the articles. It can be you or another Pakistani, with an Iqama sponsored by the company.
An LLC for a business that will build its own Saudi clients; a branch when your Pakistani company delivers its own contract. See our branch office page for Pakistani companies.
Our files took 25 and 114 days from MISA to CR. Activation follows, and the Pakistani paperwork comes before.
Across Pakistan
Faisalabad textile groups, Sialkot exporters and Karachi traders all go through the same Saudi steps. What differs is the SBP route and the papers, which we plan with you on one call. Co-owners from outside Pakistan follow our worldwide foreign-owned LLC formation guide, and the Pakistan country guide sets out the full route, and our Pakistan-to-Saudi formation guide explains each step in the order a file actually moves.
