Saudi branch office
A branch is your Bangladeshi company itself operating in Saudi Arabia. It suits a construction, engineering or IT firm delivering a Saudi contract it has won. Because the parent answers for the branch, Saudi officials review the full RJSC file.
The short answerA Bangladeshi company opens a Saudi branch by filing its e-apostilled RJSC documents with MISA and the Ministry of Commerce, then appointing a branch manager and receiving a branch CR. The branch only carries on what the parent's memorandum allows, and the parent is liable for its debts. MISA's Investor Guide (13th edition) asks a foreign company for its commercial register and its financial statements for the last fiscal year.
The parent file
A Bangladeshi parent opening a Saudi branch sends its full RJSC file, because the branch is the parent company itself, not a new Saudi entity. Each paper is apostilled online first; the e-Apostille for Bangladeshi papers explains which need a notary.
Branch or LLC?
A Bangladeshi company uses a branch to deliver its own Saudi contract and an LLC to build a lasting Saudi business; a branch leaves the parent liable for every debt. We often recommend a Saudi LLC owned from Bangladesh instead.

Official figures
A Saudi branch of a Bangladeshi company is registered with MISA first and taxed on its Saudi profit, and the 2011 treaty between the two countries decides how Bangladesh treats that profit.
Branch services
Branch work for a Bangladeshi firm covers registration and the branch manager first, then ZATCA and work visas for the team delivering the contract.
MISA registration and the branch CR, under the parent's registered name.
Named by your board and sponsored for an Iqama.
ZATCA registration; Saudi profit taxed in Saudi Arabia.
Work visas, GOSI and Qiwa for the people delivering the work.
The route
A Saudi branch of a Bangladeshi company is registered in four steps, and the e-Apostille keeps the parent file away from the Saudi embassy in Dhaka. The branch office registration guide covers the same Saudi steps for parents from other countries.
Branch questions
The Bangladeshi parent is liable: legally the branch and the parent are one company, so the parent answers for the branch's debts.
No. It only carries on what the parent's memorandum allows.
Funding a Saudi branch from Bangladesh is an outward remittance, so talk to your bank's foreign exchange desk before the Saudi filing.
Saudi Arabia taxes the branch's Saudi profit at 20%; the Bangladesh–Saudi tax treaty, listed by NBR, helps avoid full double tax.
A manager your board appoints. The manager can be Bangladeshi and is sponsored for an Iqama.
A passport and the board resolution appointing them; the work visa and Iqama follow once the branch is registered.
All 8 divisions
Wherever your head office is registered, the parent file comes from RJSC and is e-apostilled online. The Bangladesh company formation guide shows where the branch fits in the full route.
