Which Saudi company formation service do you need?
The service you need depends on where you are now, not on the company you want to end up with. Find your situation in the left column; the right column is where to start.
| Your situation | Start with | Why |
|---|---|---|
| No Saudi company yet, and you want your own | Foreign-owned LLC | A separate Saudi company with limited liability, fully foreign-owned in most activities. |
| Your company abroad has won a Saudi contract | Branch office | The parent delivers its own contract; the branch is its Saudi presence. |
| Your group will run the region from Riyadh | Regional headquarters | The RHQ programme has staffing targets in the first year; check them first. |
| You want to import and sell goods | Trading licence | 100% foreign trading has its own capital rule, so the route is chosen before filing. |
| A Saudi office rejected your home-country papers | Attestation and apostille | Usually the wrong route or a name mismatch across documents. |
| You have a CR but can’t invoice or pay staff | ZATCA, then the bank account | A registered company still needs tax numbers and an account before it can trade. |
| You want to hire, or move to Saudi Arabia yourself | GOSI and Qiwa, then the Iqama | The employer files come first; residency follows them. |
| The company exists and you want nothing to lapse | PRO and compliance | Annual CR confirmation, MISA updates, tax returns and renewals on one calendar. |

Our Saudi company formation services, in four groups
Each card links to a full guide for that service, with its steps and the documents it needs.
Set up a company
A Saudi company for a foreign owner starts with the structure: a new LLC, a branch of your existing company, or a regional headquarters. The structure decides who carries the company’s debts and which documents you collect, and we often recommend an LLC instead of a branch.

Foreign-owned LLC formation
A new Saudi company you own, usually 100%, with liability limited to its capital.
Foreign-owned profit is taxed at 20%; a Saudi or GCC share pays 2.5% zakat instead.LLC formation guide →
Branch office registration
Your company abroad, registered to operate in Saudi Arabia under its own name.
The parent stands behind the branch’s debts, so the full parent file is needed.Branch registration guide →
Regional headquarters (RHQ)
For groups that will manage the region from Riyadh.
Within a year: 15 full-time staff, 3 of them at executive director or VP level.RHQ licence guide →Licences and registration
MISA registers the foreign investment first; then the Ministry of Commerce issues the Commercial Registration (Sijil Tijari) that forms the company. Capital rules and processing times for each category are set out in the MISA Investor Guide.

MISA licence and registration
The investment registration every foreign investor needs, which replaced the MISA licence in February 2025.
MISA’s guide estimates 10 working days for a complete file; its fee is due within 15 business days of notice.MISA registration guide →
Commercial Registration (CR)
The registration that brings the company into existence, with its trade name and articles.
Since 3 April 2025 a CR has no expiry date; it is confirmed once a year.Commercial Registration guide →
Trading licence
Import, wholesale, retail and e-commerce, with the activity matched to what you sell.
A 100% foreign trading company needs SAR 30 million capital under MISA’s rules.Trading licence guide →Documents and people
Home-country papers are made valid in Saudi Arabia by apostille if your country appears on the HCCH status table, or by Saudi embassy attestation if it does not. The employer files and residency (the Iqama) come after the CR.

Attestation and apostille
The right route for each document, plus certified Arabic translation and the power of attorney.
The Apostille Convention has applied in Saudi Arabia since 7 December 2022; members skip the embassy.Attestation and apostille guide →
Investor visa and Iqama
Residency for the owner or general manager, sponsored by the new company.
The Iqama comes after the CR, GOSI and Qiwa files, so the order matters.Investor visa and Iqama guide →
GOSI, Qiwa and Muqeem
Social insurance, work permits and contracts, and residency records, so you can hire.
Employers pay 2% GOSI for expatriate staff and 11.75% for Saudis registered before July 2024.GOSI and Qiwa guide →Tax, banking and compliance
A registered company still needs ZATCA tax numbers and a bank account before it can invoice, and a filing calendar to stay in good standing. VAT registration is compulsory above SAR 375,000 of taxable sales in 12 months under ZATCA’s VAT invoicing guideline, and late VAT registration is the penalty we see most.

ZATCA, VAT and e-invoicing
Zakat or income tax, VAT, and Fatoora e-invoicing set up before your first invoice.
VAT is 15% and becomes mandatory once sales pass SAR 375,000 in 12 months.ZATCA and VAT guide →
Corporate bank account
The bank’s company file, with the shareholder papers and the source of funds set out before the bank asks.
Saudi Arabia’s central bank told banks in 2023 to accept apostilled documents.Corporate bank account guide →
PRO and compliance
Renewals and government filings on one dated calendar, followed up by our own employee in Saudi Arabia.
After an ownership change, the CR must be updated within 30 days.PRO and compliance guide →The full route
In what order do the services happen?
A foreign-owned company in Saudi Arabia is set up in eight stages, and each one needs the one before it. Files stall when a stage is started early: a bank asks for the company’s registration records before it opens an account, and residency needs the employer files first.
- First callStructure and activityLLC, branch or RHQ
- Home countryDocuments legalisedApostille or attestation
- Ministry of InvestmentInvestment registeredMISA registration

- ZATCATax numbers issuedZATCA and VAT
- BankAccount openedCorporate bank account

After the eighth stage the company files on a calendar: CR confirmation once a year, MISA updates, VAT returns, and the zakat or income tax return within 120 days of the year end. That calendar is PRO and compliance. How we quote each stage is on how we work. We checked the rules and figures on this page against MISA, Ministry of Commerce, ZATCA and HCCH sources on 15 October 2026.

Questions about our Saudi company formation services
What does a Saudi company formation service include?
A full Saudi company formation service runs from choosing the structure and activity to a company that can trade: home-country documents legalised, MISA registration, the Commercial Registration, ZATCA, the bank account, GOSI and Qiwa, and residency for the manager. Each stage has its own guide above.
Can I use only some of your services?
Yes. Many founders come to us for one stage, such as documents or the setup after the CR, and the fixed fee covers only the stages you choose.
Which service should I start with?
The structure. Whether you form an LLC, a branch or a regional headquarters decides which documents you collect and how MISA and the Ministry of Commerce treat the file, so everything else follows from it.
Can you take over a company someone else formed?
Yes. We start with a check of its CR, MISA record and tax registrations, then pick up whatever is missing or overdue.
Do I need to be in Saudi Arabia for any of it?
Not for registration, which we file under your power of attorney; Muhammad Shayan Shahzad’s MISA file was filed from Pakistan this way. Opening the bank account and getting residency usually need one trip, and we tell you when.
How long does the full route take?
The documents decide most of it. MISA’s Investor Guide estimates 10 working days to process a complete file, and we never promise a finish date because approval is the authorities’ decision. Two of our files for Pakistani shareholders went from MISA to CR in 25 and 114 days, and one client wrote on Google that their company was ready in 47 days.
What decides the fee for your services?
Our fee depends mainly on the stages you choose and how many shareholders’ papers need legalising. It is a fixed fee for the agreed scope, quoted in writing after a free consultation, with no hidden costs. Nothing is filed before you approve the scope. Every line of a quote is explained on how we work.
Are government fees included in the quote?
Government fees are listed on separate lines, at cost, so you can see what goes to the Saudi authorities and what comes to us. MISA only confirms its own fee when it approves the application.
Who handles my file?
One formation specialist from the first call to handover, backed by ACCA-qualified accountants, an FCMA, a licensed Saudi lawyer who is our external legal partner, and our own employee in Saudi Arabia who acts as PRO. Two clients name their formation specialist in our Google reviews, and you can meet the roles on our team page.
Which countries do you work with?
Investors from anywhere. We have detailed guides for Pakistan, India and Bangladesh, where most of our clients come from, and a route for every other country by region.
What happens after the company is formed?
A formed company goes onto a filing calendar: CR confirmation once a year, the MISA update, VAT returns, and the zakat or income tax return within 120 days of the year end. You can keep that with us or take it in-house.
Is the consultation really free?
Yes. The free consultation takes 20 to 30 minutes and gives you the structure we would recommend and the document list, and a written quote follows with no obligation to go ahead.
