Most founders take the complete service, because a Commercial Registration alone cannot invoice, pay salaries or open a bank account. If you already have help on one side, take only the part you need.

Who can apply

Who can register a Saudi company from Bangladesh?

A Bangladeshi company or individual can own a Saudi company, because MISA opens most activities to 100% foreign ownership. The Bangladesh side is where routes differ: where your money sits decides whether Bangladesh Bank has to approve it, and how your bank files the request. Find your route below; the Saudi LLC page for Bangladeshi owners covers each one in depth.

Route 1

Exporters with an ERQ account

Garment and leather exporters have a written route: the 2022 equity-investment-abroad rules. You apply through your authorised dealer (AD) bank, and the capital comes from your export retention quota account.

Route 2

Other Bangladesh companies

A trading or IT company without export earnings has no written route. Bangladesh Bank decides each case on its merits, so we plan the Saudi filings around that decision instead of ahead of it.

Route 3

Individuals living in Bangladesh

You can hold the Saudi shares in your own name. Sending equity capital out of Bangladesh still needs Bangladesh Bank permission, so speak to your bank’s foreign exchange desk before we file anything in Riyadh.

Route 4

Non-resident Bangladeshis

If you live in Saudi Arabia, the UAE, the UK or Malaysia and invest money already held abroad, the Bangladesh Bank step does not apply. You invest with your passport, and the Saudi filings stay the same.

Not sure which route is yours? The free consultation takes 20–30 minutes. You learn which route applies and what your bank will ask for, before you pay for a single apostille.

How it works

How do you set up a Saudi company from Bangladesh?

A Saudi company is set up from Bangladesh in four steps: you tell us the activity, approve a written plan and send your papers, then we register the company in Saudi Arabia while you stay in Bangladesh.

  1. Step 01

    Tell us the activity

One line on WhatsApp or the form: what the Saudi company will sell, and who will own it.

You get: the right activity code and structure

  2. Step 02

    Approve the plan

A written plan with the LLC or branch decision, your document list, the timeline and a fixed quote.

You get: one number, not an estimate

  3. Step 03

    Send your papers

RJSC records and passports are notarised, e-apostilled through MOFA and translated into Arabic.

You get: a filing-ready document pack

  4. Step 04

    We register in Riyadh

MISA registration, the Commercial Registration, then ZATCA, GOSI, Qiwa and the bank file.

You get: a company that can trade

Two countries, one plan

What happens in Bangladesh, and what happens in Saudi Arabia

Most delays come from treating the two sides as separate jobs. We plan them together, so your papers are stamped once and the money moves when the Saudi filings are ready for it.

In Bangladesh

Handled with your bank and your adviser.

3steps at home
  1. Collect your RJSC papers

Certificate of incorporation, memorandum and articles, Form XII list of directors, board resolution, city corporation trade licence and e-TIN.

  2. e-Apostille through MOFA

The Apostille Convention has applied to Bangladesh since 30 March 2025, so papers are apostilled online on the MyGov e-Apostille service instead of attested at the Saudi Embassy (HCCH). Each e-Apostille can be checked on MOFA’s e-Register.

  3. Bangladesh Bank approval

Equity sent from Bangladesh goes through your authorised dealer bank to a Bangladesh Bank committee chaired by the Governor. Exporters invest from their export retention quota (ERQ) account under the 2022 rules, summarised further down this page.

The full sequence: who does what, and how long it takes

Forming a Saudi company from Bangladesh takes nine steps, shared between you, your bank, MOFA, the Saudi ministries and our team. The times are ranges from official guidance and our own files, not promises, because the Saudi ministries and Bangladesh Bank each work to their own queue. Stage detail sits on the MISA registration from Bangladesh and Bangladesh e-Apostille pages.

Bangladesh Bank, in brief

Bangladesh Bank rules for investing in Saudi Arabia

Bangladesh Bank approval is needed whenever equity capital leaves Bangladesh for a Saudi company, because outward investment is a capital account transaction under the Foreign Exchange Regulation Act, 1947. For exporters, the route is the Capital Account Transaction (Equity Investment Abroad) Rules, 2022, sent to dealer banks with Bangladesh Bank’s FEID circular letter of 26 January 2022. BIDA plays no part here: it handles investment coming into Bangladesh, not money going out.

Summary of the Bangladesh Bank equity investment abroad rules as they apply to a Saudi company
PointWhat applies
Legal basisSRO 08 of 9 January 2022, made under the Foreign Exchange Regulation Act, 1947
Who qualifiesExporters with enough balance in their export retention quota (ERQ) account, whose audited accounts for the past five years show solvency
How muchThe lower of 20% of average annual export earnings over the last five years, or 25% of net worth in the latest audited accounts
How to applyThrough your authorised dealer bank, with the documents the rules list, to Bangladesh Bank
Who decidesA 15-member selection committee chaired by the Bangladesh Bank Governor; the result goes to your bank and to you
What it looks forAn investment that supports your business in Bangladesh and can earn foreign exchange
After investingProfit and dividends from the Saudi company come back to Bangladesh within 30 days of receipt
Before 2022Bangladesh Bank approved overseas investments case by case; in 2021 it cleared Nassa Group’s AJ Super Garments to invest in a Saudi dates business, Prothom Alo reported

Your bank files this, not us. The application belongs to your company and its AD bank. We supply the Saudi paperwork it refers to, such as the activity and the draft articles, and time the Saudi filings so the capital moves once the company and its bank account exist. Ask your bank’s foreign exchange desk for the current document list, because Bangladesh Bank can change it by circular.

Who it suits

Built for the businesses Bangladesh already sends to the Gulf

Saudi Arabia is the top destination for Bangladeshi workers: more than 750,000 went there in 2025, according to BMET figures reported in January 2026. The business links are formal too: in March 2023 the FBCCI and Saudi chambers set up a joint business council in Dhaka. A Saudi company lets you sign the contracts, invoice in riyals and hire in your own name instead of through an agent.

Choose the structure

Saudi LLC or a branch of your Bangladesh company?

A Saudi LLC is a new company you own. A branch is your Bangladesh company operating in Saudi Arabia. The choice decides which papers you send from Bangladesh and who carries the Saudi debts.

SuitsA long-term Saudi business with its own staffThe parent’s own contracts in Saudi Arabia

Our default is the LLC. We often recommend a Saudi LLC owned from Bangladesh instead of a branch, because it keeps the Saudi business and its risks separate from your company in Bangladesh. A Saudi branch of a Bangladeshi company makes sense when the Saudi work is the parent’s own contract. You get the recommendation in writing after the first call.

After registration

Tax treaty and yearly duties once the company is formed

A Saudi company owned from Bangladesh pays Saudi income tax on its profit and withholds 5% on dividends sent home. Its registrations are confirmed every year. Bangladesh and Saudi Arabia signed a double tax agreement on 4 January 2011, in effect from 1 October 2011 (NBR treaty list); how it treats your dividends is a question for your Bangladesh tax adviser. The Saudi dates below go on the calendar our PRO and compliance service keeps for you.

ZATCA

Income tax at 20%

The Bangladeshi-owned share of the profit pays 20% Saudi income tax. Any Saudi partner’s share pays zakat instead.

ZATCA

5% on dividends

Dividends paid to a Bangladeshi shareholder carry 5% withholding tax, due within the first 10 days of the following month. A branch’s profit sent abroad is treated as a dividend.

ZATCA

VAT at 15%

Registration becomes mandatory once taxable sales pass SAR 375,000 in 12 months and is optional from SAR 187,500. Late VAT registration is the penalty we see most.

Ministry of Commerce

Annual CR confirmation

Since April 2025 the CR has no expiry date, but it is confirmed every 12 months. If you miss it, the CR and its linked services are suspended 90 days after the due date.

MISA

Annual MISA update

The annual update takes about 5 working days, and your Bangladesh company’s own registration must still be valid. Keep the RJSC returns and the trade licence current.

Bangladesh Bank

Profit back home

For an exporter under the 2022 rules, profit and dividends from the Saudi company return to Bangladesh within 30 days of receipt.

Avoid these

Common mistakes Bangladeshi founders make with a Saudi company

Most delays we see are document mistakes, and they start in Bangladesh, before anything reaches Riyadh. Check these six points before you pay a notary or apply for an e-Apostille; our fixed-fee process goes through each one at the planning stage.

Money

Sending capital too early

Capital sent before the Saudi company and its bank account exist has nowhere to land, and it leaves you a transfer to explain to your bank.

Documents

Apostilling before the route is set

A branch needs the full parent file with audited accounts; an LLC owned by individuals does not. Stamp papers after the route is chosen, not before.

Documents

Skipping the notary

A board resolution or power of attorney is a private document. A notary signs it off first, and only then does MOFA e-apostille it.

Names

Names that don’t match

The company name has to read exactly as on the RJSC certificate, and each person’s name exactly as in the passport, in every paper from the resolution to the translation.

Activity

The wrong activity

The Saudi activity has to be open to foreign owners. For an exporter, it should also fit the business Bangladesh Bank already knows.

After setup

Missing the yearly dates

A missed CR confirmation suspends the CR’s services. A lapsed RJSC record in Dhaka blocks the annual MISA update.

Costs

What decides the cost of Saudi company formation from Bangladesh?

The activity and the number of shareholders decide most of what a Saudi company from Bangladesh costs, so we quote each file in writing instead of publishing a price. One thing has changed: since February 2025 there is no MISA licence to buy and renew; MISA notifies a registration fee when it approves the application, payable within 15 business days (MISA Investor Guide, 13th edition). Our part is a fixed fee for the agreed scope, with no hidden costs.

FAQs

Questions Bangladeshi founders ask us

Can a Bangladeshi set up a company in Saudi Arabia?

Yes, Bangladeshi individuals and Bangladesh companies can own a Saudi company, and most activities open to foreign investors allow 100% foreign ownership. The investment is registered with the Ministry of Investment (MISA) and the company is formed with a Commercial Registration from the Ministry of Commerce. A short list of activities is closed to foreign investors, so the activity is checked first.

Can a Bangladeshi individual own a Saudi company, not just a Bangladesh company?

Yes. An individual can hold the shares of a Saudi LLC in their own name, and the Saudi Companies Law allows a single-person LLC. You send a passport, proof of address and a bank reference. If you live in Bangladesh and the capital is sent from here, Bangladesh Bank permission comes first, through your bank.

Do I need a Saudi sponsor or partner?

No, not for most activities. A MISA-registered company can be 100% foreign-owned, so no Saudi sponsor (kafeel) sits in the ownership, and the company itself sponsors its foreign staff. Trading is the exception to check first, because MISA sets special conditions for a 100% foreign trading company.

Do I need Bangladesh Bank permission to invest in Saudi Arabia?

If the money leaves Bangladesh as equity, yes. Outward investment is controlled under the Foreign Exchange Regulation Act, 1947. Under the 2022 equity-investment-abroad rules, an eligible exporter applies through its bank to a Bangladesh Bank committee chaired by the Governor and can invest up to 20% of average annual export earnings or 25% of net worth, whichever is lower. Bangladeshis living abroad who invest money already held abroad follow a different path.

Do Bangladesh documents need an apostille or embassy attestation for Saudi Arabia?

Bangladesh documents need an apostille, not embassy attestation. Bangladesh joined the Hague Apostille Convention with effect from 30 March 2025, and Saudi Arabia has been a party since 7 December 2022. Bangladesh public documents for Saudi use are apostilled by the Ministry of Foreign Affairs through its e-Apostille service, instead of being legalised at the Saudi Embassy. Private documents such as board resolutions are usually notarised first. Twelve states objected to Bangladesh’s accession; Saudi Arabia was not one of them.

Which documents does a Bangladesh company need?

A Bangladesh company usually sends the RJSC certificate of incorporation, memorandum and articles of association, the Form XII list of directors, a board resolution approving the Saudi company (our requirement for the articles and power of attorney, not MISA’s), the city corporation trade licence, the e-TIN certificate, the latest audited financial statements and a bank reference. Individual shareholders need a passport, proof of address and a bank reference.

How long does Saudi company formation from Bangladesh take?

The Bangladesh documents decide most of it. Once a complete, apostilled file is ready, MISA registration and the Commercial Registration follow; on two of our files for Pakistani shareholders, that stage took 25 days and 114 days. One client reported their Saudi company formed in 47 days in total. ZATCA, GOSI, Qiwa and the bank account come after the CR. We don’t promise a date, because the Saudi ministries work to their own queues.

What do I receive when the company is formed?

The MISA investment registration, the Commercial Registration, the articles of association, the National Address and Chamber of Commerce records, and your ZATCA, GOSI and Qiwa registrations if you take the complete service, plus a calendar of every renewal and filing.

Do I need to travel to Saudi Arabia?

You don’t need to travel for most registration steps, because a power of attorney lets the MISA and Commercial Registration stages be filed for you. Opening a corporate bank account or residency for the manager can need a visit, and we tell you in advance if yours does.

Can a garment exporter fund the Saudi company from its ERQ account?

Yes, that is how the 2022 rules expect exporters to invest. The money comes from the export retention quota account, the application goes through your bank to the Bangladesh Bank committee, and the cap is the lower of 20% of average annual export earnings or 25% of net worth.

Is BIDA involved when a Bangladesh company invests in Saudi Arabia?

No. BIDA, the Bangladesh Investment Development Authority, deals with investment coming into Bangladesh. Money going out to a Saudi company is a Bangladesh Bank matter, applied for through your authorised dealer bank.

Our company is not an exporter. Can it still invest in Saudi Arabia?

Ask your bank’s foreign exchange desk before planning the Saudi side. The 2022 equity-investment-abroad rules were written for eligible exporters, so anyone else is looking at a case-by-case Bangladesh Bank decision, and that decision sets your timeline.

I live in Malaysia or the UK. Does the Bangladesh Bank step apply to me?

Usually not, if the money you invest is already held abroad and never leaves Bangladesh. You invest as an individual with your passport, and the Saudi side runs the same way.

Will Saudi authorities and banks accept a Bangladesh e-Apostille?

Yes, Saudi authorities and banks accept a Bangladesh e-Apostille. Both countries are parties to the Apostille Convention, and Saudi Arabia’s central bank told banks in 2023 to accept apostilled documents. The apostille confirms the signature and seal; the Arabic translation is still needed.

Which papers need a notary before the e-Apostille?

Private documents, mainly the board resolution and the power of attorney. We go through the list document by document before you pay for anything, so no paper is notarised or apostilled twice.

What is the time difference between Dhaka and Riyadh?

Riyadh is three hours behind Dhaka. A 10:00 call in Dhaka is 07:00 in Riyadh, so we book your calls in Bangladesh time and file during Saudi office hours.

What is the minimum capital for a Saudi company owned from Bangladesh?

The Saudi Companies Law sets no statutory minimum capital for an LLC (Article 174), and software and IT activities have no MISA minimum. MISA does set minimums for special activities such as trading. The capital should match your business plan and, for an exporter, fit inside the Bangladesh Bank cap.

Can my Bangladesh company import and sell goods in Saudi Arabia in its own name?

A 100% foreign-owned trading company is held to MISA’s special conditions: SAR 30 million minimum capital and a presence in at least three regional or global markets, then at least SAR 300 million invested over five years (or SAR 200 million plus a manufacturing, R&D or logistics target) and 30% of Saudi staff trained every year. Most Bangladesh exporters sell through a Saudi distributor first. See trading licence.

Can I hire Bangladeshi staff for the Saudi company?

Yes, you can hire Bangladeshi staff on Saudi work visas. Plan for the monthly expat levy on each foreign worker, the employer’s 2% GOSI contribution for expatriate staff, and the Saudization quota for your activity. See GOSI and Qiwa.

How is the Saudi company’s profit taxed?

Profit owned by a Bangladeshi shareholder is taxed at 20% income tax in Saudi Arabia, and dividends paid to Bangladesh carry 5% withholding tax. Bangladesh and Saudi Arabia signed a tax treaty on 4 January 2011, which NBR lists as in effect; how it applies to your dividends is a question for your Bangladesh tax adviser.

Do profits from the Saudi company have to come back to Bangladesh?

For an exporter investing under the 2022 rules, yes: profit and dividends come back within 30 days of receipt. On the Saudi side, a dividend paid to a Bangladeshi shareholder has 5% withholding tax taken first.

When does the Saudi company have to register for VAT?

When taxable sales pass SAR 375,000 in 12 months. Registration is optional from SAR 187,500, which is worth it if you want to reclaim VAT on setup costs. See ZATCA and VAT.

How does the MISA registration fee work?

MISA tells you the fee when it approves the application, and it has to be paid within 15 business days or the registration lapses. An annual update fee follows. We add MISA’s figure to your quote as a separate line as soon as MISA confirms it.

Does the Commercial Registration need renewing every year?

Not renewing, confirming. Under the law in force since 3 April 2025 the CR has no expiry date, but the company confirms its details once a year on the Saudi Business Center.

Should the money leave Bangladesh before the company is registered?

No, the capital should move after the company is registered. We plan the two sides together so it moves once the Saudi registrations are in place and there is an account to receive it. Sending money early only adds a step to explain to your bank.

Why are so many Bangladeshi businesses looking at Saudi Arabia?

The people are already there: more than 750,000 Bangladeshi workers went to Saudi Arabia in 2025, its top destination for workers, according to BMET figures, and the FBCCI and Saudi chambers formed a joint business council in 2023. A Saudi company lets a Bangladesh business sign Saudi contracts and invoice in riyals in its own name, instead of through an agent.

Can I set up a Saudi company from Chattogram or Sylhet, not only Dhaka?

Yes. The Bangladesh side is done online or through your own bank and notary, so your city makes no difference. The e-Apostille is applied for on MyGov, and we work with you by video call in Bangladesh Standard Time.

Do you have an office in Bangladesh?

No, we have no office in Bangladesh. Bangladesh clients are served through a virtual desk by video call or WhatsApp, booked in Bangladesh Standard Time (GMT+6). Our office is in Barkat Market, Lahore, Pakistan.
