Licences · Ministry of Commerce
The Commercial Registration (CR, or Sijil Tijari) is the Ministry of Commerce record that brings a Saudi company or branch into existence. Since 3 April 2025 it no longer expires. A yearly confirmation on the Saudi Business Center replaced renewal, and a CR still unconfirmed 90 days after its due date is suspended. We file the CR and diarise that date the day it’s issued.
Written by the formation desk at Saudia Company Formation, Lahore. Checked on 15 October 2026 against the Ministry of Commerce’s own announcements: the Commercial Register and Trade Names Laws (in force 3 April 2025), the yearly confirmation rules, and the Beneficial Ownership Rules approved by Resolution No. 99 (December 2025).

Definition
A Commercial Registration (CR) is the Ministry of Commerce’s official record of a company or branch: its trade name, unified number, legal form, activities, capital, managers and address. Banks check it before opening an account, ZATCA before VAT registration, and GOSI and Qiwa before you hire anyone.
For a foreign-owned company the CR follows the MISA investment registration, and its activities must match MISA’s record exactly. The 2025 law adds two duties people miss. The licence for each registered activity is due within 90 days of the CR unless the licensing body allows longer, and the business needs a bank account in its own name.

Worked example
A Saudi CR issued on 1 June 2026 has its first yearly confirmation due on 1 June 2027. The Ministry of Commerce suspends a CR still unconfirmed 90 days after the due date and strikes it off a year into the suspension. The dates below apply those published rules to one CR.
Unified number assigned; beneficial owners disclosed with the incorporation request.
The licence for each registered activity is due within 90 days, unless the licensing body sets a longer period.
A foreign-owned company can confirm only while its MISA registration is valid with at least 30 days left.
Twelve months after issue. Filed online on the Saudi Business Center, with beneficial-owner data confirmed at the same time.
Ninety days past the due date, the CR and the government services linked to it are suspended.
A year into the suspension the CR is deleted automatically, unless the missed confirmation goes in, with its fine, before then.
We treat 1 June itself as the deadline, because a suspension also blocks the services that hang off the CR. Our compliance service files the confirmation for you.
Our work
A Commercial Registration filing with the Ministry of Commerce is short; the preparation before it decides whether banks and ministries accept the company later. Most delays we see are document mistakes, and in a CR file the costly one is vague signing powers, because a bank reads the articles to see who may operate the account.
NameOptions checked against the Trade Names Law, which bars a name similar to any existing one even in another activity. The Arabic and English forms are agreed before reservation.
ArticlesWritten so a bank can see at a glance who opens the account and who signs on it, alone or jointly.
OwnershipAnyone holding 25% or more, directly or through other companies, identified with documents under the Ministry’s Beneficial Ownership Rules.
Ministry of CommerceEvery activity, the capital figure and each manager’s name matched to MISA’s record, so the two registers never contradict each other.
RecordsThe registered address with Saudi Post (SPL), and the Chamber record used to certify company letters.
Order of work
A foreign-owned company gets its Commercial Registration in five steps on the Saudi Business Center (business.sa), starting the day MISA approves the investment registration. The trade name and the articles take longer than the filing itself.
Options are checked and one is reserved for the period the Trade Names Law allows, which can be extended once.

Paperwork
For a foreign-owned CR, the Ministry of Commerce needs the approved MISA registration, a reserved trade name, signed articles, beneficial-owner details and a National Address. Most personal papers carry over from the MISA file.

What changed
The Commercial Register Law in force since 3 April 2025 removed the CR’s expiry date and replaced renewal with a yearly confirmation. It allows one CR per business and gives existing sub-registers five years to be corrected, which runs to April 2030.

| Question | Before April 2025 | Since April 2025 |
|---|---|---|
| Validity | Fixed term, renewed | No expiry date |
| Yearly task | Renewal when due | Confirmation of CR data |
| Branches | Separate sub-registers | One CR for all activities; sub-registers corrected within five years |
| Trade name | Arabic or Arabised words | Arabic, Arabised or English words, letters or numbers |
| Ownership | Shareholders on record | Beneficial owners recorded as well |
Easier to keep, easier to forget. With no expiry date prompting you, the confirmation date is the one to guard.

Two Commercial Registrations from our files, one in Arabic and one for a foreign-owned company, with client details removed. Two other files, both for Pakistani shareholders, took 25 days and 114 days from MISA to CR, which is why we never promise a date. That route is set out step by step in our guide to forming a Saudi company from Pakistan.

Fees
The fee for a Saudi Commercial Registration depends mostly on two things: whether the MISA registration is already done, and how many documents signed abroad need authenticating and translating. Each line below appears separately in your written quote, and our own part is a fixed fee agreed before work starts.
